Please read these Terms of Use carefully before accessing or using any part of the Nasanua platform available at nasanua.com. By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. Definitions

The following terms apply throughout this document:

• Platform means the website, applications, and services operated by Nasanua at nasanua.com.
• User means any individual who accesses, browses, registers on, or otherwise uses the Platform.
• Account means the registered profile created by a User to access protected features of the Platform.
• Content means all text, video, audio, images, graphics, course materials, exercises, assessments, and any other material made available through the Platform.
• Instructor means a professional engaged by Nasanua to deliver masterclasses or educational programmes on the Platform.
• Subscription means a paid or free plan granting access to specific Content or features for a defined period.
• We, Us, Our refers to Nasanua.
• You, Your refers to the User.

2. Acceptance of Terms

By creating an Account, purchasing a Subscription, or otherwise using the Platform, you enter into a binding agreement with Nasanua governed by these Terms. Your continued use of the Platform after any update to these Terms constitutes acceptance of the revised version. We recommend reviewing this page periodically.

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and all references to "you" apply to that organisation.

3. Eligibility

You must be at least 18 years of age to create an Account or purchase a Subscription. Users between the ages of 13 and 17 may access the Platform only with verifiable parental or guardian consent. By using the Platform, you represent and warrant that you meet the applicable age requirement.

We reserve the right to refuse access to any person at our sole discretion, including where we have reason to believe that a User has provided false information or has previously violated these Terms.

4. Account Registration and Security

4.1 Registration

To access certain features you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep that information updated at all times.

4.2 Credentials

You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your Account with any other person. You agree to notify us immediately at help@nasanua.com if you become aware of any unauthorised use of your Account or any other security breach.

4.3 Liability

We are not liable for any loss or damage arising from your failure to comply with these security obligations. You may be held liable for losses incurred by Nasanua or other Users due to unauthorised use of your Account that results from your failure to keep your credentials secure.

5. Subscriptions and Payments

5.1 Plans

The Platform offers various Subscription plans, which may include free tiers, one-time purchases, and recurring billing arrangements. Details of current plans, pricing, and included Content are displayed on the Platform and are subject to change.

5.2 Billing

Where a Subscription involves recurring charges, you authorise us to bill your chosen payment method at the start of each billing period. Prices are displayed inclusive or exclusive of applicable taxes as required, and you are responsible for any taxes applicable in your territory.

5.3 Renewals and Cancellations

Recurring Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your Account settings. Cancellation takes effect at the end of the current billing period, and no partial refunds are issued for unused time within a paid period unless required by applicable law.

5.4 Failed Payments

If a payment fails, we may suspend or downgrade your access until payment is successfully processed. We will attempt to notify you of payment failures using the contact details associated with your Account.

5.5 Refunds

Refund eligibility is governed by our Refund Policy, which forms part of these Terms. Where no separate Refund Policy is published, refund requests are assessed on a case-by-case basis at our discretion, subject to applicable consumer protection obligations.

6. Intellectual Property

6.1 Ownership

All Content on the Platform, including but not limited to masterclass recordings, written materials, graphics, trademarks, logos, and software, is owned by or licensed to Nasanua and is protected by applicable intellectual property laws.

6.2 Licence to Users

Upon obtaining a valid Subscription or free access, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Content solely for your personal, non-commercial educational purposes. This licence does not include any right to download, copy, distribute, publicly display, sell, sublicense, or create derivative works from any Content, except as expressly permitted in writing by Nasanua.

6.3 User-Generated Content

Where the Platform permits you to submit comments, questions, reviews, or other materials, you retain ownership of your original content but grant Nasanua a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, and display such content in connection with operating and promoting the Platform. You represent that you have all rights necessary to grant this licence and that your submissions do not infringe any third-party rights.

6.4 Feedback

Any suggestions, ideas, or feedback you provide regarding the Platform may be used by us freely without obligation, compensation, or attribution to you.

7. Prohibited Conduct

You agree not to use the Platform to:

• Reproduce, distribute, publicly display, or sell any Content without prior written authorisation.
• Share Account credentials or allow third parties to access Content through your Account.
• Record, screenshot, or capture Content by any means for redistribution.
• Circumvent, disable, or interfere with security features or access controls.
• Upload or transmit viruses, malware, or any code designed to disrupt or damage the Platform.
• Scrape, crawl, or systematically extract data from the Platform without express permission.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Post or transmit content that is unlawful, defamatory, harassing, obscene, or otherwise objectionable.
• Engage in any activity that places an unreasonable or disproportionate load on Platform infrastructure.
• Use the Platform for any commercial purpose not expressly authorised by these Terms.
• Violate any applicable law or regulation in connection with your use of the Platform.

We reserve the right to investigate and take appropriate action against any User who violates these prohibitions, including suspending or terminating access and reporting conduct to relevant authorities.

8. Third-Party Services and Links

The Platform may contain links to third-party websites, tools, or services. These links are provided for convenience only. Nasanua does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party service. Your use of third-party services is governed by their respective terms and policies, and you access them entirely at your own risk.

Certain features of the Platform may be powered by third-party providers such as payment processors, video hosting services, or analytics tools. By using such features, you acknowledge that relevant data may be processed by those providers in accordance with their own privacy policies.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. 10. Disclaimers

10.1 Educational Purpose

Content on the Platform is provided for educational and informational purposes only. Nothing on the Platform constitutes professional advice, and results described in any Content are illustrative only. Individual outcomes will vary based on personal effort, experience, and circumstances.

10.2 Platform Availability

We strive to maintain continuous availability of the Platform but do not guarantee uninterrupted, error-free, or secure access. The Platform is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.

10.3 Accuracy

While we make reasonable efforts to ensure that Content is accurate and up to date, we make no representations or warranties regarding the completeness, accuracy, reliability, or suitability of any Content for any particular purpose.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Nasanua, its directors, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Platform, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total amount paid by you to Nasanua in the twelve months immediately preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraudulent misrepresentation.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nasanua and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content you submit to the Platform.

13. Modifications to the Platform and Terms

13.1 Platform Changes

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any feature thereof.

13.2 Terms Changes

We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through a notice on the Platform. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms.

14. Termination

14.1 By You

You may terminate your Account at any time by contacting us at help@nasanua.com or using the account deletion option within your Account settings, where available. Termination does not entitle you to a refund of any prepaid fees except as required by applicable law.

14.2 By Us

We may suspend or terminate your Account and access to the Platform at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so, including intellectual property rights, disclaimers, indemnification, and limitation of liability.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Nasanua is established, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction.

Before initiating formal proceedings, you agree to attempt to resolve any dispute by contacting us at help@nasanua.com. We will make reasonable efforts to resolve disputes informally within thirty days of receiving written notice.

16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Nasanua with respect to your use of the Platform and supersede all prior or contemporaneous communications, whether written or oral, relating to that subject matter.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. Any waiver of a specific breach shall not constitute a waiver of any subsequent breach of the same or any other provision.
